    CONTENIDO

    (1) Estos Términos Y Condiciones de servicio ("TyC") regulan la relación comercial entre BYKE Mobility GmbH, Torstraße 177, 10115 Berlin ("nosotros", "nuestro", "BYKE") y las personas físicas que deseen utilizar nuestras Bicicletas o, en su caso, eScooters ("Usted", “Su”).

    (2) Estos TyC y la Lista de precios [U1] actual se aplicarán al Contrato Marco que se crea cuando Usted registra una cuenta de usuario BYKE, a cada compra de un Pase de alquiler, a cada Suscripción y cada Alquiler de vehículo individual durante su membresía en BYKE ("Contrato de Alquiler Individual"). Al aceptar estas TyC, usted acepta estar obligado por sus términos y la Lista de precios[U2] actual ("Lista de precios") y sus modificaciones ocasionales.

    (3) Para usuarios que deseen alquilar nuestros vehículos en España, sólo la versión en español de estos TyC será legalmente vinculante. La versión en inglés tiene una finalidad meramente informativa y no forma parte del contrato. Para los clientes que alquilen nuestros vehículos en otros países, únicamente la versión de estos TyC en el idioma del correspondiente país será legalmente vinculante.

     

    1. DEFINICIONES

    Los términos en mayúsculas utilizados en estos TyC tendrán los significados definidos en estos TyC.

    Alquiler de Bicicletas significa el alquiler de una Bicicleta a través de la App BYKE.

    Alquiler de vehículo individual significa cada alquiler individual de una Bicicleta y/o eScooter que comienza con la confirmación de la reserva de acuerdo con la sección 4.1 párrafo (1) de estos TyC.

    Alquiler eScooter significa el alquiler de un eScooter a través de la aplicación BYKE.

    Aplicación Byke o BYKE App es la aplicación de software desarrollada por BYKE que opera en sistemas operativos Android y iOS, que permiten el alquiler y devolución de Vehículos.

    Área Operativa significa el área dentro de los límites de los cuales generalmente se pueden alquilar y devolver los Vehículos. El Área Operativa se puede ver, en su forma actual, en la Página web de BYKE y en la BYKE App.

    Bicicleta significa una bicicleta puesta a disposición por BYKE para su alquiler, que está equipada con un cuadro de bicicleta, un manillar, una cesta, frenos, una cadena, un cubo delantero, un cubo trasero, neumáticos, pedales, una campana, luces, bloqueo, y un dispositivo de sistema de posicionamiento global (GPS).

    Contrato de Alquiler Individual significa el contrato que se celebra entre Usted y BYKE para cada Alquiler de vehículo individual.

    Contrato Marco significa el contrato que se celebra entre Usted y BYKE en el momento del registro de una cuenta BYKE, que establece los derechos y obligaciones mutuos tal como se especifica en estos TyC y en la Lista de precios[U3] .

    Cuenta BYKE significa una cuenta personal que BYKE le proporciona después de un registro satisfactorio.

    eScooter es el patinete eléctrico que BYKE pone a Su disposición en alquiler, que está equipado con un tablero, un asa, una luz delantera y trasera, frenos, neumáticos y un dispositivo GPS.

    Evento de Fuerza Mayor significa la ocurrencia de cualquier evento o circunstancia fuera del control de BYKE. Los eventos de Fuerza Mayor incluyen (i) desastres naturales, explosiones, incendios, inundaciones, terremotos, epidemias, condiciones climáticas catastróficas, desastres atmosféricos u otros elementos de la naturaleza, (ii) actos de guerra (declarados o no declarados), actos de terrorismo, insurrección, disturbios, rebelión, sabotaje, (iii) situaciones excepcionales de tráfico y carreteras y (iv) huelgas, cierres patronales y disturbios civiles.

    Otro conductor se refiere a cualquier persona que use un Vehículo que haya alquilado en Su cuenta con Su autorización.

    Página web de BYKE es el sitio web oficial de BYKE, accesible desde http://www.byke.de/.

    Pase de alquiler significa los diferentes pases de alquiler que pueden estar disponibles para su compra dentro de la App, incluida una cierta cantidad de alquiler de Vehículos por tiempo limitado dentro de un período de tiempo determinado (por ejemplo, un pase de un día o un pase de un mes).

    Servicios significa el alquiler de Vehículos junto con la provisión de la BYKE App, tal como está disponible en Su país de residencia.

    Suscripción significa la suscripción continua de un Pase de alquiler (por ejemplo, suscripción mensual o anual).

    Tiempo de Alquiler significa el período de tiempo entre la confirmación de la reserva de acuerdo con la sección 4.1 párrafo (1) de estos TyC y el final del Alquiler de vehículo individual de acuerdo con la sección 5 de estos TyC.

    TyC se refiere a estos términos y condiciones de servicio, incluida la Lista de precios [U4] que se aplica al Contrato Marco y a cada Alquiler de vehículo individual, a Pases de alquiler y Suscripciones adquiridos.

    Vehículo (s) significa eScooters y / o Bicicletas, según sea el caso, puestos a disposición por BYKE.

     

    2. SERVICIOS

    2.1 Sujeto a los términos de estos TyC y a la Lista de precios[U5] , y sus modificaciones periódicas (ver la sección 10 de estos TyC), BYKE le ofrece a Usted la posibilidad de alquilar y utilizar Vehículos en una modalidad de pago por viaje y, según sea el caso, bajo un pase de alquiler de un día o un mes o bajo una suscripción como se indica en la Aplicación BYKE y la Lista de precios[U6] , sujeto a disponibilidad. Las categorías y la ubicación de los Vehículos disponibles en Su lugar de residencia se mostrarán en la pantalla del mapa en la Aplicación BYKE. Los Vehículos son y seguirán siendo propiedad exclusiva de BYKE en todo momento.

    2.2 Los eScooters actualmente solo se ofrecen en ciertos lugares en España.

     

    3. APLICACIÓN BYKE Y PÁGINA WEB; CUENTA

    Usted puede alquilar los Vehículos a través de la Aplicación BYKE que se puede descargar de las tiendas de aplicaciones en línea o de la Página web de BYKE. Solo BYKE y sus licenciantes tienen derecho a todos los derechos de propiedad intelectual de la aplicación BYKE.

    3.1 REGISTRO

    (1) Antes de poder empezar a utilizar nuestros Servicios y alquilar Vehículos, Usted debe descargar la Aplicación BYKE y registrar una cuenta de usuario. Al registrarse, Usted debe proporcionar su número de teléfono a BYKE. Alternativamente, también puede crear una cuenta usando su cuenta de Facebook. Para registrarse, debe tener 18 años o más. Después del registro exitoso, BYKE le proporcionará Su Cuenta BYKE personal.

    (2) La inscripción en los Servicios es gratuita.

    (3) Usted acepta proporcionar información precisa y completa durante Su registro y mantenerla actualizada.

    (4) Usted está obligado a informar inmediatamente a BYKE de cualquier cambio en Su información personal, en particular con respecto a Su información de facturación.

    (5) Su Cuenta BYKE se le asignará de manera exclusiva, y no podrá transferir ni hacer disponible de ninguna otra forma Su cuenta BYKE a terceros, ni utilizar la Cuenta BYKE de otra persona en ningún momento. Usted es responsable de mantener la confidencialidad de su información de la Cuenta BYKE (incluidos los nombres de usuario, las contraseñas y la información de facturación). BYKE no se responsabiliza por ninguna pérdida en la que Usted pueda incurrir como resultado de que otra persona utilice Su cuenta, excepto si dicho uso fue causado deliberada o negligentemente por BYKE. Usted es responsable de cualquier pérdida o daño incurrido por BYKE o cualquier tercero como resultado de que otra persona utilice Su cuenta, siempre que dicho uso haya sido intencional o negligentemente causado por Usted. Si Usted tiene conocimiento de algún evento de robo, uso no autorizado o cualquier otro incumplimiento de seguridad en Su cuenta, debe notificar a BYKE inmediatamente utilizando los datos de contacto que se encuentran al final de estos TyC.

    3.2 ACCESO DE RED Y DISPOSITIVO

    (1) Usted es responsable de las conexiones de red de Su dispositivo requeridas para usar los Servicios y de cualquier tarifa de acceso o de datos impuesta por terceros (como su proveedor de Internet u operador de telefonía móvil) en relación con Su uso de Nuestros Servicios. Las tarifas de datos y mensajes de Su red de datos móvil pueden aplicarse si accede o usa los Servicios desde un dispositivo habilitado para conexión inalámbrica. Usted es responsable de adquirir y actualizar hardware o los dispositivos compatibles necesarios para el acceso y uso de los Servicios y cualquier actualización de los mismos.

    (2) Usted reconoce que los Servicios BYKE se brindan a través de Internet y redes móviles; por lo tanto, la calidad y la disponibilidad de los Servicios pueden verse afectadas por factores fuera del control de BYKE. BYKE no garantiza que el Servicio, o ninguna parte del mismo, funcione en ningún hardware o dispositivo en particular.

    3.3 NOTIFICACIONES

    Al crear una Cuenta BYKE, Usted acepta que BYKE pueda enviarle mensajes de texto informativos (SMS), correos electrónicos, así como notificaciones automáticas como parte de la operativa normal de Su uso de los Servicios. Solo le enviaremos mensajes promocionales si Usted lo ha autorizado expresamente.

     

    4. ALQUILER INDIVIDUAL DE VEHÍCULOS Y USO

    4.1 PERIODO DE ALQUILER DE VEHÍCULOS

    (1) El Alquiler de vehículo individual comenzará una vez que Usted indique Su intención de alquilar un Vehículo a través de la Aplicación BYKE y BYKE haya confirmado el alquiler, en el caso de un alquiler de Bicicleta abriendo el bloqueo de la Bicicleta respectiva, y en el caso de Alquiler de eScooter activando la energía eléctrica del eScooter.

    (2) El Alquiler de vehículo individual finalizará una vez que se devuelva el Vehículo de acuerdo con la sección 5 de estos TyC o si BYKE finaliza el Alquiler de vehículo individual de acuerdo con estos TyC.

    (3) Durante el Tiempo de alquiler, Usted es responsable del Vehículo. Por lo tanto, cualquier incidente/daño ocurrido al Vehículo durante el Tiempo de Alquiler puede ser directamente imputado a Usted, con sujeción a la sección 8.1 de estos TyC.

    (4) Usted no puede dejar un Vehículo desatendido en ningún momento durante el Tiempo de alquiler y debe usar el soporte o apoyo de pie cada vez que un Vehículo este estacionado.

    (5) Generalmente, Usted solo puede alquilar un Vehículo a la vez en su Cuenta BYKE. Solo en la medida en que se ofrezca expresamente a través de Nuestra Aplicación, Usted podrá alquilar hasta 5 Vehículos a la vez. Si alquila más de un Vehículo a la vez y deja uno o más Vehículos a Otros Conductores, Usted es responsable de informar a los Otros Conductores acerca de todas las obligaciones derivadas de estos TyC, así como de su cumplimiento. Mientras que Otros Conductores usen los vehículos, Usted es responsable de la culpabilidad en el uso de los Vehículos atribuible a dichos Otros Conductores.

    4.2 DISPONIBILIDAD; MANTENIMIENTO

    (1) El Alquiler de los vehículos está sujeto a disponibilidad por orden de llegada, y aunque BYKE hace un esfuerzo por satisfacer la demanda de los Vehículos por parte de los clientes, BYKE no puede garantizar que el suministro sea adecuado para proporcionar un Vehículo a cada cliente en cualquier momento.

    (2) BYKE es responsable de la operativa diaria de mantenimiento y reparación de los Vehículos. Sin embargo, esto no significa que BYKE garantice que todos los Vehículos disponibles estén libres de problemas operativos en cualquier momento.

    4.3 CONDICIONES DE USO

    (1) Como condición previa para cada Alquiler de Vehículo Individual, Usted reconoce y acepta que:

    a) Usted tiene experiencia y está familiarizado con el funcionamiento o uso seguro de un eScooter o una Bicicleta, según sea el caso;

    b) Usted ostenta una forma física y mental adecuada para conducir el Vehículo que Usted ha elegido;

    c) En caso de que las normativas locales obliguen a usar un casco para conducir el Vehículo, Usted usará un casco que esté debidamente homologado de acuerdo con la legislación vigente y Usted lo usará en cualquier momento en que conduzca el Vehículo.

    d) Usted está familiarizado con todas las reglas, normas, códigos y leyes locales, municipales, estatales y autonómicas relativas al uso seguro y legal de un eScooter o una Bicicleta, según sea el caso.

    (2) Además, reconoce y acepta que:

    a) Usted es plenamente consciente de que montar un eScooter o una Bicicleta en las calles presenta un riesgo de accidente debido a los conductores, los peatones y las condiciones de la carretera, y Usted debe mantener una vigilancia adecuada para evitar dichos accidentes;

    b) Usted está completamente formado y capacitado para utilizar y viajar en el Vehículo elegido y no confía o depende de que BYKE le explique cómo operar o utilizar dicho Vehículo;

    c) Usted es el único responsable de la obtención y el uso de un casco y/u otro equipo de protección cuando así lo exijan las normas, los reglamentos, las leyes locales o estatales o, en general, la legislación vigente;

    d) Usted es el único responsable de la calidad y el uso correcto de cualquier equipo como cascos y/o equipo de protección que utilice;

    e) Usted es el único responsable de operar y utilizar el Vehículo de forma cuidadosa y competente;

    f) Usted es consciente de que un casco y equipo de protección, incluso cuando se utilizan, no eliminan el riesgo de lesiones corporales en caso de accidente;

    g) Usted es el único responsable por las infracciones de tráfico y/o multas incurridas por Usted mientras usa el Vehículo, incluidas las tarifas o multas por estacionar el Vehículo en lugares prohibidos según lo establecido en las leyes aplicables, o por cualquier multa impuesta por no usar un casco mientras conduzca el Vehículo si su uso es obligatorio de acuerdo con la legislación local o estatal actual y aplicable para el Área Operativa;

    h) BYKE se reserva el derecho de identificarlo ante las autoridades de la Administración Pública en caso de que Usted haya cometido una infracción de tráfico durante el Tiempo de alquiler o Usted haya estacionado en un área prohibida de acuerdo con las reglamentaciones locales correspondientes, o en cualquier otro caso en el que BYKE esté legalmente requerido para hacerlo;

    i) BYKE no está obligada a proporcionar un seguro de ningún tipo relativo a Usted;

    j) Si Usted causa daños a otra persona mientras usa o está en posesión del Vehículo, Usted es el único responsable de dicho daño o lesión de acuerdo con las leyes aplicables, excepto y solo en la medida en que dichos Daños sean causados ​​por un acto voluntario o negligente de BYKE;

    k) Usted deberá ajustar su comportamiento de conducción en todo momento de acuerdo con las condiciones climáticas;

    l) Usted no puede quitar ni modificar ningún accesorio, pieza o componente de ningún Vehículo;

    m) Usted no puede usar un Vehículo sin intención de pagar el precio;

    n) Usted puede devolver el Vehículo fuera del Área Operativa tal y como se muestra en la Aplicación, pero sujeto a las tarifas adicionales de acuerdo con la Lista de Precios[U7] .

    4.4 DEBERES EN CASO DE UN ACCIDENTE

    Usted está obligado a notificar a BYKE, en los datos de contacto proporcionados al final de estos TyC, así como a la policía local sin demora indebida en el caso de que (i) ocurra un accidente durante Su alquiler del Vehículo que involucre no solo a Usted sino también a terceros y/o su propiedad, o (ii) si un Vehículo es robado durante el Tiempo de Alquiler. De lo contrario, Usted será responsable por los daños y perjuicios causados a BYKE como resultado del incumplimiento de dicha obligación;

    4.5 INSPECCIÓN DE LOS VEHÍCULOS

    Antes y durante cada uso de un Vehículo, Usted debe familiarizarse con lo siguiente:

    a) Inspeccione las partes visibles del Vehículo que desea alquilar antes de Su uso para asegurarse de que se encuentra en buenas condiciones de funcionamiento;

    b) Examine los componentes operativos de la Bicicleta (frenos, neumáticos, engranajes, ruedas, pedales, luces, bastidor y sillín) y/o los componentes operativos del eScooter (placa, asa, luz delantera y trasera, frenos, neumáticos y dispositivo GPS);

    c) Notifique inmediatamente al servicio de atención al cliente de BYKE (en los datos de contacto provistos al final de estos TyC) si es evidente para Usted que el Vehículo tiene algún tipo de defecto técnico o avería que podría afectar su aptitud para la circulación. BYKE cancelará el Contrato de Alquiler Individual de forma gratuita, si informa a BYKE sobre un defecto que pueda afectar la aptitud para la circulación de un Vehículo dentro de los primeros 10 minutos posteriores al alquiler. Con sujeción a la sección 8.2 párrafo 2 (RESPONSABILIDAD de BYKE), el Vehículo se considerará libre de daños si Usted no informa a BYKE de un defecto dentro de los primeros 10 minutos posteriores al alquiler. Las limitaciones antes mencionadas no se aplican en caso de incumplimiento intencional o gravemente negligente de un deber por parte de BYKE o en caso de lesiones a la vida, el cuerpo o la salud.

    4.6 USOS RESTRINGIDOS

    Los Vehículos no pueden ser usados ​​bajo las siguientes condiciones:

    a) En el caso de las Bicicletas, si la persona que se supone que debe utilizar la Bicicleta es menor de 16 años, a menos que esta persona esté acompañada por un adulto; en el caso del eScooter, si la persona que se supone que debe usar el eScooter es menor de 18 años, a menos que esta persona esté acompañada por un adulto;

    b) Si la persona que se supone que debe utilizar el Vehículo tiene alguna condición física o mental existente que le impida operar el Vehículo con seguridad;

    c) Mientras transporta cualquier artículo que impida la capacidad del conductor para operar el Vehículo de manera segura.

    d) Si la persona que se supone que debe usar el Vehículo está bajo la influencia de alcohol, drogas o cualquier otra sustancia que pueda afectar la capacidad de la persona para operar el Vehículo de manera segura;

    e) Al usar cualquier teléfono móvil o dispositivo electrónico móvil, incluidos, entre otros, llamadas telefónicas, mensajes de texto, escuchar música o cualquier otro uso que distraiga al conductor de la operación segura del Vehículo;

    f) Si la cesta de la bicicleta está demasiado llena con cualquier tipo de objeto o en caso de que los objetos que se coloquen en la cesta pesen en total más de 5 kilogramos;

    g) Durante condiciones climáticas adversas como granizo, tormentas de polvo, niebla espesa, fuertes lluvias o tormentas eléctricas;

    h) Si el Vehículo tiene algún defecto técnico obvio o avería que pueda afectar a la aptitud para la circulación del Vehículo;

    i) Por violar las normas de la Ley Alemana de Tráfico Vial (StVO), si está utilizando los Servicios en Alemania o por violar las disposiciones del Real Decreto Legislativo 6/2015, de 30 de octubre, por el que se aprueba el texto refundido de la Ley sobre Tráfico, Circulación de Vehículos a Motor y Seguridad Vial y del Real Decreto 1428/2003, de 21 de noviembre, por el que se aprueba el Reglamento General de Circulación para la aplicación y desarrollo del texto articulado de la Ley sobre tráfico, circulación de vehículos a motor y seguridad vial, y del resto de la legislación local sobre tráfico y circulación, si está utilizando los Servicios en España.

    j) Para realizar carreras, trucos de equitación, saltos y/o acrobacias o conducir fuera de los viales legalmente establecidos.

    k) Para cualquier propósito comercial;

    l) Para remolcar, tirar, transportar o empujar a cualquier persona u objeto con un Vehículo.

     

    5. FIN DEL ALQUILER DE VEHÍCULO INDIVIDUAL Y DEVOLUCIÓN DEL VEHÍCULO

    5.1 Usted debe devolver el Vehículo en las mismas condiciones que cuando lo recibió.

    5.2 En caso de un Alquiler de Bicicletas, el Alquiler de Vehículo Individual finaliza, (i) cuando la Bicicleta está correctamente estacionada y bloqueada en cualquier lugar de estacionamiento legal y de libre acceso dentro de los límites del Área Operacional y (ii) cuando BYKE confirma la devolución de la Bicicleta a través de la Aplicación BYKE. En el caso de un alquiler de eScooter, el Alquiler del vehículo individual finaliza (i) cuando el eScooter está aparcado y bloqueado correctamente en cualquier lugar de estacionamiento legal y de libre acceso dentro de los límites del Área operacional, (ii) Usted ha indicado el final del Alquiler del vehículo individual a través de la Aplicación BYKE y (iii) BYKE confirma la devolución del eScooter a través de la Aplicación BYKE. Puede devolver un Vehículo fuera del Área Operacional de acuerdo con las disposiciones mencionadas, sujeto a las tarifas adicionales según lo establecido en la Lista de Precios[U8] actual. Al devolver un Vehículo, puede ver el proceso de alquiler completado, incluido el Tiempo de alquiler total y las tarifas totales en la Aplicación BYKE.

    5.3 Si la devolución de un Vehículo falla, por ejemplo, debido a la batería baja de su dispositivo o a la falta de conexión a Internet, debe notificar al servicio al cliente de BYKE lo antes posible a través de la Aplicación BYKE o a través de los datos de contacto provistos al final de estos TyC. En tal caso, BYKE finalizará manualmente el Alquiler del vehículo individual. Además, BYKE se reserva el derecho de terminar el Alquiler de vehículo individual si no utiliza un Vehículo dentro de un período de 24 horas después del comienzo del Alquiler del vehículo individual.

    5.4 Usted debe ser capaz de proporcionar información respecto a la ubicación exacta de un Vehículo devuelto, a petición de BYKE, por un período de 48 horas después de la devolución de un Vehículo.

    5.5 Usted está obligado a seguir las normas de tráfico y las condiciones específicas del Área operacional cuando estacione. Debe asegurarse de que el Vehículo no obstaculice a otros usuarios de la carretera o de la acera u otros terceros. En particular, no debe estacionar el Vehículo en árboles, señales de tráfico, semáforos, parquímetros, máquinas expendedoras, vallas propiedad de terceros, bancos, contenedores, papeleras, frente o cerca de salidas de emergencia y zonas de servicio de bomberos, frente a entradas y salidas, vados, en vías de acceso al transporte público, carriles para bicicletas, elementos de ayuda a la orientación para ciegos, pasos de peatones, en edificios, patios traseros, otros vehículos, parques y espacios verdes, donde el Vehículo cubra anuncios, mobiliario urbano cuando el destino o la funcionalidad del artículo cubierto quede deteriorado o cuando el Vehículo dañe o deteriore el estado del artículo, en las áreas reservadas para la carga y descarga, en lugares reservados para otros usuarios o servicios y, en general, en cualquier otros lugar prohibido por las reglamentaciones y normas locales de la ciudad en la que conduce el Vehículo.

    5.6 Usted es responsable de verificar que no haya prohibiciones temporales (por obras, mercados, fiestas, poda de árboles, filmación, etc.) en un área de estacionamiento. No puede finalizar el Alquiler de Vehículo Individual estacionando un Vehículo en áreas con restricciones de estacionamiento diario o horario, si la restricción comienza en menos de 24 horas después de que el Vehículo haya sido estacionado. Por ejemplo, si la prohibición de estacionamiento comienza el martes a las 09.00 a.m., Usted no puede estacionar el Vehículo en el área restringida después de las 09:00 a.m. del lunes anterior.

    5.7 Si Usted estaciona el Vehículo infringiendo las disposiciones antes mencionadas, se pueden aplicar recargos adicionales de acuerdo con la Lista de precios [U9] actual. En caso de que el Vehículo haya sido estacionado infringiendo la disposición establecida en la sección 5.2 anterior, el Tiempo de alquiler también continúa funcionando, sujeto a cobro, hasta que el Vehículo respectivo sea devuelto de conformidad con dicha disposición, pero con un límite de 48 horas después de que el Vehículo haya sido estacionado infringiendo tal disposición. Los respectivos recargos no se cobrarán en la medida en que Usted demuestre que no es responsable de los daños incurridos por BYKE, que no se produjo ningún daño o que el daño real incurrido es significativamente más bajo que los recargos que se le aplican.

     

    6. PAGO Y FACTURACIÓN

    6.1 BYKE le cobrará en función de los precios vigentes en el momento de la reserva. La Lista de precios[U10] actual está disponible en la Página web de BYKE y en la Aplicación BYKE. BYKE tiene derecho a modificar o enmendar la Lista de precios [U11] en cualquier momento para futuras reservas de acuerdo con la sección 10 de estos TyC.

    6.2 Si un Vehículo es devuelto fuera del Área Operacional como se define en la Página web de BYKE y en la Aplicación BYKE, se deben pagar las tarifas adicionales de acuerdo con la Lista de Precios [U12] actual.

    6.3 Se aplican diferentes tarifas para el alquiler de Bicicletas y el alquiler de eScooter, y pueden aplicarse diferentes tarifas a las diferentes categorías de bicicletas y/o eScooters, tal como se indica en la Aplicación BYKE o la Página web de BYKE.

    6.4 Los pagos de un Alquiler de Vehículo Individual se realizan al final del Alquiler de Vehículo Individual. Los pagos de un Pase de alquiler se pagarán en el momento de la reserva. Los pagos por suscripciones (mensual o anual) se pagarán al comienzo de cada período de suscripción.

    6.5 Después del registro, BYKE configura una cuenta de crédito ("Cuenta de crédito") para Usted, que puede recargar con dinero en cualquier momento para pagar los honorarios incurridos. Además, puede elegir entre diferentes métodos de pago como su método de pago preferido ("Método de pago preferido"). Usted tiene la opción de pagar los montos adeudados mediante tarjeta de crédito (Visa, Mastercard o American Express) o con PayPal. Para el pago con tarjeta de crédito, BYKE utiliza Stripe Sdk y para pagos con PayPal, BYKE utiliza PayPal Sdk (para obtener más información, consulte la sección 9 de estos TyC). Si elige pagar con PayPal, se le pedirá que inicie sesión en su cuenta de PayPal con su dirección de correo electrónico y contraseña para confirmar el pago. Puede cambiar su Método de pago preferido en cualquier momento.

    6.6 En la medida en que Usted tenga un saldo acreedor ("Saldo acreedor") en su Cuenta de crédito, su Cuenta de crédito se utilizará primero para saldar cualquier cantidad adeudada y Su Método de pago preferido se utilizará para cualquier cantidad restante adeudado. BYKE puede ocasionalmente, a su propia discreción, proporcionarle montos de bonificación ("Montos de bonificación"). Las cantidades de la bonificación son guardadas por BYKE en una cuenta separada ("Cuenta de bonificación") dentro de la Aplicación BYKE. Puede ver el saldo total de su Cuenta de Crédito y o Cuenta de bonificación en cualquier momento en la Aplicación BYKE. En la medida en que tenga saldo en su Cuenta de bonificación, BYKE utilizará en primer lugar dicho saldo. Si no hay saldo en la Cuenta de bonificación o si los Servicios no se pueden compensar con la Cuenta de bonificación, BKYE cargará los cargos (restantes) de la Cuenta de crédito y/o de Su Método de pago preferido.

    6.7 Usted no puede transferir su Monto de bonificación o Saldo acreedor a otros usuarios de la Aplicación BYKE o cualquier otro tercero.

    6.8 No hay fecha de vencimiento para Su Saldo acreedor durante el plazo del Contrato Marco. En caso de rescisión, cualquier cantidad de crédito existente en la fecha de finalización del Contrato Marco se transferirá a su solicitud a una cuenta bancaria designada según lo establecido en la sección 7.1 párrafo (5) de estos TyC. Los Montos de bonificación restantes existentes en dicha fecha caducarán automáticamente y no se le devolverán ni pueden utilizarse para reducir las cantidades s adeudados por Usted a BYKE.

    6.9 Cualquier cargo aplicable por los servicios de BYKE incluye los impuestos aplicables requeridos por la ley.

    6.10 En caso de que sea imposible procesar un pago debido a razones por las cuales Usted sea responsable, BYKE le cobrará los gastos en que pueda incurrir debido a dicho incumplimiento de acuerdo con la Lista de precios[U13] , a menos que pueda demostrar que Usted no incurrió en ningún gasto o que los gastos reales incurridos fueron inferiores a los indicados. BYKE también le cobrará tarifas por advertencias de impago, tal como se especifica en la Lista de precios[U14] . Además, si ha incurrido en incumplimiento de pago, el monto pendiente devengará intereses a una tasa del cinco por ciento (5%) sobre la tasa básica del interés vigente en ese momento.

    6.11 Si el pago se retrasa, BYKE recibe una advertencia autorizada para interrumpir el Servicio hasta que Usted cumpla con sus obligaciones de pago.

    6.12 BYKE cargará cualquier cargo adeudado automáticamente a través de su Método de pago preferido sin que sea necesario el requisito de una anterior solicitud de pago. Las objeciones a los cargos deben enviarse por escrito a BYKE dentro de los 14 días posteriores a la recepción de la factura.

     

    7. PLAZO Y TERMINACIÓN; SUSPENSIÓN DE LOS SERVICIOS

    7.1 PLAZO Y TERMINACIÓN DEL CONTRATO MARCO

    (1) El Contrato Marco se concluirá por un período de tiempo indefinido si no se rescinde de acuerdo con esta sección 7.

    (2) BYKE puede rescindir el Contrato Marco con un período de preaviso de 3 días enviándole un aviso de finalización a través de la Aplicación BYKE, por correo electrónico o mensaje de texto (SMS).

    (3) Usted puede rescindir el Contrato Marco en cualquier momento enviándonos una notificación por escrito (por ejemplo, mediante correo electrónico).

    (4) No es posible realizar una terminación del Contrato Marco durante un Alquiler de vehículo individual. Si se acordó un plazo mínimo en virtud de una Suscripción, el Contrato Marco solo podrá rescindirse a partir del final del plazo mínimo acordado.

    (5) Después de la rescisión del Contrato Marco, BYKE cobrará los importes pendientes en un plazo de 14 días hábiles y reembolsará el saldo restante de su Cuenta de crédito dentro de los 14 días hábiles posteriores a Su presentación a la atención al cliente de BYKE (consulte la sección 17 de estos TyC) de una cuenta bancaria alemana o española, según sea el caso.

    7.2 PLAZO Y CANCELACIÓN DE LAS SUSCRIPCIONES Y CONTRATOS DE ALQUILER INDIVIDUAL

    (1) Las Suscripciones tienen un término contractual indefinido.

    (2) La Suscripción mensual puede ser cancelada por Usted en cualquier momento antes del final de un mes de contrato y por BYKE con un período de preaviso de 3 días hasta el final de un mes de contrato. Si una Suscripción, por ejemplo, comienza el día 13 de un mes, se puede cancelar con efecto hasta el día 12 de cada mes siguiente. Si ninguna de las partes cancela la Suscripción, la misma se extenderá automáticamente por un mes adicional.

    (2) Usted puede cancelar la Suscripción anual en cualquier momento antes del final de un año de contrato y BYKE con un período de preaviso de 3 días hasta el final de un año de contrato. Si la Suscripción comienza, por ejemplo, el 13 de abril de un año, se puede cancelar con efecto hasta el 12 de abril de cada año siguiente. Si ninguna de las partes cancela la Suscripción, la misma se extenderá automáticamente por un año adicional.

    (3) El preaviso de terminación de BYKE debe darse por escrito (por ejemplo, por correo electrónico, SMS o mediante notificación de la Aplicación de BYKE). Usted puede cancelar una Suscripción directamente en la Aplicación bajo el elemento de menú "Mi tarifa" o enviándonos un aviso de finalización por escrito (por ejemplo, por correo electrónico).

    (4) Puede rescindir un Contrato de alquiler individual en cualquier momento devolviendo el Vehículo de acuerdo con la sección 5.2 de estos Términos de servicio.

    7.3 DERECHO DE TERMINACIÓN EXTRAORDINARIA

    El derecho de terminación extraordinaria de las partes no se ve afectado por la sección 7.1 y 7.2 de estos TyC.

     

    8. RESPONSABILIDAD Y LIMITACIÓN DE RESPONSABILIDAD

    8.1 SU RESPONSABILIDAD

    (1) Usted utiliza los Servicios bajo Su propio riesgo. Si Usted causa daños a un Vehículo o un Vehículo es robado durante el Tiempo de alquiler como resultado de una negligencia grave o conducta dolosa por su parte, Usted es responsable de las pérdidas que BYKE sufra como consecuencia de tales daños o robo en virtud de la normativa de responsabilidad civil. Su responsabilidad en caso de negligencia leve está limitada a un importe máximo de 300€ por daños a una Bicicleta y a un máximo de 450€ por daños a un eScooter.

    (2) Si debido a un incumplimiento de estas TyC, en particular de la sección 5 de estos TyC, un Vehículo debe ser reubicado por las autoridades públicas o por BYKE, y BYKE queda sujeto al pago de una multa y/u otros costes, como los costes de reubicación, tales multas y / o costes le serán transferidos a Usted. Además, BYKE cobrará una tarifa de servicio de acuerdo con la Lista de preciosU15] ecios actual.

    (3) Usted acepta defender, indemnizar y mantener a BYKE, sus directivos, directores, empleados y agentes indemnes ante cualquier reclamo, responsabilidad, daños, pérdidas y gastos que surjan o estén relacionados de alguna manera con (i) Su violación dolosa o negligente de estos TyC, o (ii) Su violación dolosa o negligente de los derechos de terceros, o (iii) Su entrega de Vehículos a Otros Conductores.

    8.2 RESPONSABILIDAD DE BYKE

    (1) BYKE será responsable sin restricción alguna ante Usted en caso de incumplimiento culpable de los deberes contractuales materiales ("Obligaciones fundamentales") por parte de BYKE, sus representantes legales o agentes indirectos. Las Obligaciones fundamentales son todas las obligaciones cuyo incumplimiento pondría en peligro el cumplimiento del objeto del contrato, así como todas las obligaciones cuyo cumplimiento permite el correcto funcionamiento del contrato y en cuyo cumplimiento puede Usted confiar generalmente. Sin embargo, cuando el incumplimiento de una Obligación fundamental se deba solo a una negligencia leve y no de como resultado la muerte, lesiones personales o daños a la salud, Sus reclamaciones por daños estarán limitadas en la cantidad del daño típicamente previsible en el momento en que el servicio respectivo fue realizado.

    (2) BYKE será responsable sin restricción en casos de dolo y negligencia grave y por muerte, lesiones personales o daños a la salud causados por BYKE, sus representantes legales o agentes indirectos.

    (3) BYKE será responsable, de conformidad con la Ley alemana, de la responsabilidad por productos defectuosos en caso de responsabilidad de producto.

    (4) En todos los casos distintos a los descritos en la sección 8.2, párrafos 1 a 3, BYKE o los representantes legales, empleados o agentes indirectos de BYKE no serán responsables de ninguna reclamación. BYKE estará exenta de la prestación de los Servicios por cualquier período en la medida en que no pueda realizar los Servicios, en su totalidad o en parte, como resultado de un Evento de Fuerza Mayor.

    (5) En la medida en que la responsabilidad de BYKE esté limitada o excluida en virtud de las disposiciones anteriores; esto también se aplicará a la responsabilidad personal de los representantes legales, empleados y agentes indirectos de BYKE.

     

    9. PROTECCIÓN DE DATOS

    9.1 BYKE recopila, procesa y utiliza datos personales que Usted proporciona durante el registro y el uso de los Servicios, como su número de teléfono móvil, dirección de correo electrónico y datos bancarios, así como datos personales relacionados con Su uso de los vehículos, como la ubicación de inicio y el destino, la hora de inicio y la duración del uso, en la medida necesaria para la prestación de los Servicios y en cumplimiento de las disposiciones establecidas en el Reglamento General de Protección de Datos ("GDPR") y las disposiciones de implementación asociadas. Este procesamiento de datos se basa en el art. 6 para. 1 letra b del GDPR. Además, BYKE procesa dichos datos para identificar cualquier uso de Vehículos que infrinjan estos TyC o infrinjan las normas de tráfico y para procesar reclamaciones por las cuales BYKE sería responsable como propietario del Vehículo en base al art. 6 para. 1 letra b y c del GDPR.

    9.2 BYKE utiliza las aplicaciones API de Google Maps para determinar la ubicación actual de un Vehículo y mostrar el Vehículo disponible más cercano. Google Maps es provisto por Google Inc., 1600 Amphitheatre Parkway, Mountain View, CA 94043, EE. UU. ("Google"). La API de Google Maps es esencial para la funcionalidad y la disponibilidad de los Servicios. Las aplicaciones API de Google Maps registran los tiempos de destino, salida y llegada y la duración del uso de Vehículos. Al utilizar Google Maps, la información sobre su uso de la Aplicación BYKE o de la Página web de BYKE se transmite y almacena en servidores pertenecientes a Google en los EE. UU. La transferencia de todos los datos de ubicación a Google se realiza de forma anónima.

    9.3 BYKE contrata proveedores de servicios de pago para el procesamiento de sus pagos. Para pagos con tarjeta de crédito BYKE usa el proveedor de servicios de pago Stripe Inc., ubicado en 185 Berry Street, Suite 550 San Francisco, CA 94107, EE. UU. ("Stripe"). Por lo tanto, si elige el pago con tarjeta de crédito como su Método de pago preferido, los detalles de la tarjeta de crédito que ingrese se transmitirán a Stripe. Stripe solo puede usar estos detalles para procesar las transacciones con tarjeta de crédito que haya iniciado. Para los pagos de PayPal, utilizamos el proveedor de servicios de pago PayPal (Europa) S.à.r.l et Cie, S.C.A. ("PayPal"). Los datos se transmiten a los proveedores de servicios de BYKE sobre la base del art. 6 para. 1 b del GDPR.

    9.4 En cuanto a Stripe y Google, los datos se transfieren a un país fuera de la Unión Europea. Dichas transmisiones están permitidas según la decisión de la comisión de la UE sobre la adopción del marco de protección de datos EU-US "Escudo de privacidad" o “Privacy Shield” (https://www.privacyshield.gov/welcome). Stripe y Google están certificados bajo este Marco de Protección de Privacidad UE-EE.UU.

    10. MODIFICACIONES A ESTOS TYC Y A LA LISTA DE PRECIOS

    10.1 BYKE se reserva expresamente el derecho de modificar estos TyC y la Lista de precios [U17] de conformidad con las siguientes disposiciones.

    10.2 BYKE tiene derecho a modificar estos TyC y la Lista de precios [U18] de futuros Alquileres de vehículos individuales o pases de alquiler en cualquier momento y sin ofrecer los motivos. BYKE le notificará de cualquier cambio al menos 3 días antes de tales cambios. Los Alquileres de vehículos individuales incluidos en pases de alquiler o suscripciones activas que se compraron antes de la notificación de modificaciones no se verán afectados durante el contrato en vigor/ período de suscripción.

    10.3 En el caso de las suscripciones mensuales, BYKE tiene derecho a cambiar estos TyC y la Lista de precios [U19] sin indicar los motivos con efecto para el siguiente mes del contrato. BYKE le notificará sobre dichos cambios al menos 3 días antes del final del mes del contrato en vigor. Todas las modificaciones comunicadas se consideran aprobadas si Usted no se opone a ellas por escrito (por ejemplo, mediante correo electrónico) dentro del periodo de 1 semana después de la notificación. En caso de que se oponga a las modificaciones, la Suscripción se terminará automáticamente. BYKE señalará específicamente las consecuencias antes mencionadas en la notificación de modificaciones de BYKE.

    10.4 En el caso de las suscripciones anuales, BYKE tiene derecho a cambiar estos TyC y la Lista de precios [U20] sin indicar los motivos con efecto para el siguiente año contractual. BYKE le notificará sobre dichos cambios al menos 3 días antes del final del año del contrato en vigor. Todas las enmiendas comunicadas se consideran aprobadas si Usted no se opone a ellas por escrito (por ejemplo, mediante correo electrónico) dentro de las 4 semanas posteriores a la notificación. En caso de que se oponga a las modificaciones, la Suscripción se terminará automáticamente. BYKE señalará específicamente las consecuencias antes mencionadas en la notificación de modificaciones de BYKE. BYKE solo tiene derecho a ajustar o cambiar estos TyC con efecto al año del contrato vigente si ello es necesario debido a un cambio significativo en las condiciones del marco técnico, comercial o legal. Cualquier modificación comunicada con efecto al año del contrato vigente entrará en vigencia y se considera aprobada si Usted no se opone a ellas en forma de texto (por ejemplo, correo electrónico) dentro de las 6 semanas posteriores a la notificación. BYKE señalará específicamente las consecuencias antes mencionadas en la notificación de BYKE de las modificaciones. En caso de que la legislación aplicable, las órdenes judiciales o las órdenes de las autoridades públicas exijan cambios obligatorios, el período de notificación anterior podría ser más corto, según lo establecido en la ley respectiva, orden judicial o requerimiento de las autoridades públicas. Si Usted objeta las modificaciones, las TyC permanecerán vigentes sin modificaciones. Sin embargo, en ese caso, BYKE tendrá derecho a rescindir el Contrato Marco y la Suscripción respectiva con un período de preaviso de 3 días a partir de Su objeción.

    10.5 BYKE le notificará sobre cualquier modificación de acuerdo con las secciones 10.2 a 10.4 mediante correo electrónico, SMS o notificación dentro de la Aplicación de BYKE y mediante la publicación de los nuevos TyC y Lista de precios [U21] en la Página web de BYKE y en la Aplicación BYKE.

    10.6 No obstante lo establecido en las secciones 10.1 a 10.5, cualquier alteración o enmienda a estos TyC y/o la Lista de precios [U22] acordada entre Usted y BYKE solo será válida y vinculante si se acuerda por escrito. Esto también se aplicará a este propio requisito del acuerdo por escrito.

     

    11. INTERACCIONES DE TERCEROS

    11.1 Durante el uso de los Servicios, puede entrar en contacto con, comprar productos y/o servicios de, o participar en promociones de terceros proveedores, anunciantes o patrocinadores mostrando sus productos y/o servicios a través de la Aplicación BYKE o la Página web de BYKE. Cualquier actividad de este tipo, y cualquier término, condición, garantía o representación asociada con dicha actividad, es únicamente entre Usted y el tercero correspondiente.

    11.2 BYKE no respalda ninguna aplicación o sitio en Internet que esté vinculado a través de la Aplicación BYKE o el Sitio web de BYKE y no es responsable de ningún contenido, productos, servicios u otros materiales disponibles en tales sitios o proveedores externos.

     

    12. LEY APLICABLE

    El Contrato, incluidos estos TyC y la Lista de precios[U23] , se regirá por las leyes de Alemania, para los clientes que utilizan nuestros Servicios en Alemania y por las leyes de España para los clientes que utilizan nuestros Servicios en España, excluyendo las reglamentaciones de la Convención de ventas de las Naciones Unidas. (CISG).

     

    13. CESIÓN

    13.1 BYKE tiene derecho a ceder sus derechos y obligaciones bajo el Contrato marco tal como se especifica en estas TyC a un tercero en cualquier momento sin su consentimiento. Sin embargo, BYKE está obligado a notificarlo por escrito de una cesión con un tiempo razonable previo a dicha cesión. Tras la notificación de una cesión, Usted tiene derecho a rescindir el Contrato Marco extraordinariamente dentro de las seis (6) semanas siguientes. BYKE señalará este derecho nuevamente en la notificación remitida.

    13.2 En ningún caso tiene Usted derecho a transferir ni ceder los derechos del Contrato marco a terceros sin el previo consentimiento por escrito de BYKE.

     

    14. NO RENUNCIA

    El hecho de que BYKE no insista o imponga el cumplimiento estricto de cualquier disposición de estos TyC no se interpretará como una renuncia a ninguna disposición o derecho. Ni el curso de la conducta entre las partes ni la práctica comercial modificarán ninguna parte de estos TyC. Ninguna renuncia por parte de BYKE deberá interpretarse como una renuncia a cualquier otro procedimiento o incumplimiento posterior de cualquier disposición de estos TyC.

     

    15. SEPARABILIDAD

    Si un tribunal de la jurisdicción competente considera que alguna disposición de estos TyC o de la Lista de precios [U24] vigente es inválida o nula, las disposiciones restantes de estos TyC permanecerán en pleno vigor y efecto.

     

    16. NOTA SOBRE LA RESOLUCIÓN DE DISPUTAS

    BYKE no está obligado ni dispuesto a participar en un procedimiento de resolución de disputas ante una agencia de conciliación de consumidores en el sentido de la Ley de Resolución Alternativa de Disputas en Materia de Consumo.     SUBJECT MATTER 
    
    (1) These Terms of Service (“ToS”) regulate the business relationship between BYKE Mobility GmbH, Torstraße 177, 10115 Berlin (“we”, “us”, “our”, “BYKE”) and natural persons who want to use our Bikes or as the case may be Electric Scooters (“You”, “Your”). 
    
    (2) These ToS and the current Price List shall apply to the Master Agreement which is created when You register a BYKE user account, to each purchase of a Rental Pass, to each Subscription and to each Individual Vehicle Rental during Your BYKE membership (“Individual Rental Contract”). By accepting these ToS You agree to be bound by its terms and the current Price List (“Price List”) as amended from time to time. 
    
    (3) This English Version of the ToS is intended for information purposes only. For customers who wish to rent out vehicles in Germany, the German text of these ToS is the legally binding version and for Customers who wish to rent out vehicles in Spain, the Spanish text of these ToS is the legally binding version.  
    
    1. DEFINITIONS 
    
    Terms in capitals used in these ToS shall have the meanings as defined in these ToS. 
    
    Bike means a bicycle made available by BYKE for rent that is equipped with or consist of a bicycle frame, a handlebar, a basket, brakes, a chain, a front hub, a rear hub, tires, pedals, a bell, lights, a lock, and a global positioning system (GPS) device. 
    
    Bike Rental means the rental of a Bike via the BYKE App. 
    
    BYKE Account means a personal account provided to You by BYKE after successful registration.
    
    BYKE App means the software application developed by BYKE which operates on Android and iOS operational systems enabling rElectric Scooterental and return of Vehicles. 
    
    BYKE Website means the official website of BYKE, accessible under http://www.byke.de/.
    
    Electric Scooter means the electric scooter made available by BYKE for rent that is equipped with or consists of a board, a handle, a front and rear light, brakes, tires and a GPS device.
    
    Electric Scooter Rental means the rental of an Electric Scooter via the BYKE App. 
    
    Force Majeure Event means the occurrence of any event or circumstance beyond the control of BYKE. Force Majeure Events include (i) natural disasters, explosions, fires, floods, earthquakes, epidemics, catastrophic weather conditions, atmospheric disasters or other elements of nature, (ii) acts of war (declared or undeclared), acts of terrorism, insurrection, riots, rebellion, sabotage, (iii) exceptional traffic and road situations and (iv) strikes, lock-outs, and civil unrest.
    
    Individual Rental Contract means the contract that is concluded between You and BYKE for each Individual Vehicle Rental.
    
    Individual Vehicle Rental means each individual rental of a Bike and/or Electric Scooter beginning with the confirmation of the booking in accordance with section 4.1 paragraph (1) of these ToS.
    
    Master Agreement means the agreement that is concluded between You and BYKE at the time of registration of a BYKE Account establishing mutual rights and obligations as specified in these ToS and the Price List.
    
    Other Driver means any person using a Vehicle You rented on Your account with Your authorization. 
    
    Operating Area means the Area within the boundaries of which the Vehicles can generally be rented and returned. The Operating Area can be viewed, in its current form, on the BYKE Website and in the BYKE App. 
    
    Rental Pass means the different rental passes that may be available for purchase within the App, including a certain number of time limited vehicle rentals per day within a certain time period (e.g. one day pass or one month pass).
    
    Rental Time means the period of time between the confirmation of the booking in accordance with section 4.1 paragraph (1) of these ToS and the end of the Individual Vehicle Rental in accordance with section 5 of these ToS.
    
    Services means the rental of Vehicles together with the provision of the BYKE App, as available in Your country of residence.
    
    Subscription means the continuous subscription of a Rental Pass (e.g. monthly or annual pass subscription). 
    
    ToS means these terms of service including the Price List that apply to the Master Agreement and to each Individual Vehicle Rental, to purchased Rental Passes and Subscriptions. 
    
    Vehicle(s) means Electric Scooters and/or Bikes, as the case may be, made available by BYKE. 
    
    2. SERVICES
    
    2.1 Subject to the terms of these ToS and the Price List, as amended from time to time (see section 10 of these ToS), BYKE offers You the possibility to rent and use Vehicles on a pay per ride basis and, as the case may be, under a one-day or one-month rental pass or under a subscription as indicated in the BYKE App and Price List, subject to availability. The categories and location of available Vehicles at Your place of residence will be displayed on the map screen in the BYKE App. Vehicles are and shall remain the exclusive property of BYKE at all times. 
    
    2.2  Electric Scooters are currently only offered at certain locations in Spain. 
    
    3. BYKE APP AND WEBSITE; ACCOUNT 
    
    You can rent the Vehicles via the BYKE App which can be downloaded from online application stores or the BYKE Website. Solely BYKE and its licensors are entitled to all the intellectual property rights in or to the BYKE App. 
    
    3.1 REGISTRATION
    
    (1) Before You can start using our Services and renting Vehicles, You must download the BYKE App and register a user account. When registering, You must provide Your phone number to BYKE. Alternatively, You can also create an account by using Your Facebook account. In order to register, You must be 18 years of age or older. After successful registration, BYKE will provide You with Your personal BYKE Account. 
    
    (2) Registration for the Services is free.
    
    (3) You agree to provide accurate and complete information during Your registration and to maintain it updated. 
    
    (4) You are obliged to inform BYKE immediately of any changes to Your personal information, in particular regarding Your billing information. 
    
    (5) Your BYKE Account will be assigned uniquely to You, and You may neither transfer or otherwise make available Your BYKE Account to others, nor use anyone else’s BYKE Account at any time. You are responsible for maintaining the confidentiality of Your BYKE Account information (including usernames, passwords, and billing information). BYKE is not liable for any loss that You may incur as a result of someone else using Your account, except if such use was caused willfully or negligently by BYKE. You are liable for any losses or damages incurred by BYKE or any third party as a result of someone else using Your account, provided that such use was willfully or negligently caused by You. If You become aware of any event of theft, unauthorized use, or any other breach of security on Your account, You must notify BYKE immediately under the contact details as provided at the end of these ToS.
    
    3.2 NETWORK ACCESS AND DEVICE
    
    (1) You are responsible for Your device´s network connections required to use the Services and for any access or data fees incurred from third parties (such as Your Internet provider or mobile carrier) in connection with Your use of Our Services. Your mobile network's data and messaging rates and fees may be applied if You access or use the Services from a wireless-enabled device. You are responsible for acquiring and updating compatible hardware or devices necessary for the access and use of the Services and any updates thereto. 
    
    (2) You acknowledge that BYKE´s Services are provided over the internet and mobile networks; therefore the quality and availability of the Services may be affected by factors outside of BYKE´s control. BYKE does not guarantee that the Service, or any portion thereof, will function on any particular hardware or device. 
    
    3.3 NOTIFICATIONS 
    
    By creating a BYKE Account, You agree that BYKE may send You informational text messages (SMS), emails, as well as push notifications as part of the normal business operation of Your use of the Services. We only send You promotional messages, if You have expressly authorized it. 
    
      
    
    4. INDIVIDUAL VEHICLE RENTAL AND USE
    
    4.1 VEHICLE RENTAL PERIOD
    
    (1) The Individual Vehicle Rental will commence once You indicate Your wish to rent a Vehicle through the BYKE App and BYKE has confirmed the rental, in case of a Bike Rental by opening the bicycle lock of the respective Bike, and in case of an Electric Scooter Rental by activating the electric power of the Electric Scooter. 
    
    (2) The Individual Vehicle Rental will end once a Vehicle is returned in accordance with section 5 of these ToS or if BYKE terminates the Individual Vehicle Rental in accordance with these ToS. 
    
    (3) During the Rental Time You are responsible for the Vehicle. Therefore, any incident/damage occurred to the Vehicle during the Rental Time may be directly imputed to You, subject to section 8.1 of these ToS. 
    
    (4) You may not leave a Vehicle unattended at any time during the Rental Time and You must use the kickstand every time a Vehicle is parked. 
    
    (5) Generally You may only rent one Vehicle at a time on Your BYKE Account. If and to the extent this is expressly offered via our App, You may rent up to 5 Vehicles at a time. If You rent more than one Vehicle at a time and leave one or more Vehicles to Other Drivers, You are responsible to inform such Other Drivers about all obligations arising from these ToS as well as for their compliance with them. While Other Drivers use the Vehicles, You are responsible for the culpability in the use of the Vehicles attributable to such Other Drivers. 
    
    4.2 AVAILABILITY; MAINTENANCE 
    
    (1) Rental of the Vehicles is subject to availability on a first-come, first-serve basis, and although BYKE makes an effort to meet the demand for the Vehicles by customers, BYKE cannot guarantee that supply will be adequate to provide a Vehicle to every customer at any time.
    
    (2) BYKE is responsible for the daily operation maintenance and repair of the Vehicles. However, this shall not mean that BYKE guarantees that all Vehicles available are in a trouble-free condition at any time.
    
    4.3 CONDITIONS OF USE
    
    (1) As a precedent condition for each Individual Vehicle Rental You acknowledge and agree that: 
    
    a)      You are experienced and familiar with the safe operation of an electric scooter or a bicycle, as the case may be; 
    
    b)      You are physically and mentally fit to ride the Vehicle You chose; 
    
    c)       In case local regulations oblige You to wear a helmet to drive the Vehicle You will use a helmet which is approved in accordance with current legislation and You will wear this helmet at any time You drive the Vehicle.
    
    d)      You are familiar with all applicable local, state, and county rules, regulations, codes, and laws that relate to the safe and legal operation of an electric scooter or a bicycle as the case may be. 
    
    (2) You further acknowledge and agree that:
    
    a)      You are fully aware that riding an electric scooter or a bicycle on streets poses a risk of accident due to motorists, pedestrians, and road conditions, and You must keep a proper lookout to avoid such accidents;
    
    b)      You are fully trained and capable of operating and riding the chosen Vehicle and You are not relying on BYKE to explain to You how to operate or ride such Vehicle;
    
    c)       You are solely responsible for obtaining and using a helmet and/or other protective gear when this is required by any local or state rules, regulations, laws or, in general, the current legislation; 
    
    d)      You are solely responsible for the quality and correct use of any equipment such as helmets and/or protective gear You use;
    
    e)      You are solely responsible for operating and riding the Vehicle in a careful and competent manner;
    
    f)       You are aware that a helmet and protective gear, even when used, do not eliminate the risk of bodily injury in the event of an accident;
    
    g)       You are solely responsible for any traffic violations and/or fines incurred by You while using the Vehicle, including any fees for parking the Vehicle in prohibited locations as set forth in applicable laws, or for any fine imposed for not wearing a helmet when driving the Vehicle, if its use is mandatory in accordance with the local or state current regulation applicable for the Operating Area;
    
    h)      BYKE reserves the right to identify You before Public Administration Authorities in the event that You have committed a traffic infraction during Rental Time or You have parked in a prohibited area according to the corresponding local regulations, or in any other case where BYKE is legally required to do so;
    
    i)        BYKE is not obligated to provide insurance of any kind related to You; 
    
    j)        If You cause any damages to another person while operating or in possession of the Vehicle, You are solely liable for such damage or injury according to the applicable laws, except if and to the extent such Damages are caused by a willful or negligent act of BYKE;
    
    k)       You shall at all times adjust Your riding behavior according to weather conditions; 
    
    l)        You may not remove or modify any accessories, parts, or components of any Vehicle;
    
    m)    You may not use a Vehicle without intention to pay the charges; 
    
    n)      You may return the Vehicle outside the Operating Area as shown in the App, subject to additional fees in accordance with the Price List. 
    
    4.4 DUTIES IN CASE OF AN ACCIDENT
    
    You are obliged to notify BYKE under the contact details provided at the end of these ToS as well as the local police without undue delay in the event (i) an accident occurs during Your rental of the Vehicle involving not only You but also third-parties and/or their property, or (ii) if a Vehicle is stolen during Rental Time. Failure to do so shall result in You being liable for damages incurred by BYKE resulting from violation of said obligation; 
    
    4.5 INSPECTION OF THE VEHICLES 
    
    Before and during each use of a Vehicle, You shall familiarize Yourself with the following: 
    
    a)      Inspect the visible parts of the Vehicle that You wish to rent prior to Your use in order to ensure that it is in a good operating condition;
    
    b)      Test the Bike’s operating components (brakes, tires, gears, wheels, pedals, lights, frame, and saddle) and/or the Electric Scooter’s operation components (board, a handle, a front and rear light, brakes, tires and a GPS device);
    
    c)       Promptly notify the BYKE customer service (under the contact details provided at the end of these ToS) if it is apparent to You that the Vehicle has any kind of technical defect or malfunction that could affect its roadworthiness. BYKE will cancel the Individual Rental Contract free of charge, if You inform BYKE about a defect that may affect a Vehicle´s roadworthiness within the first 10 minutes after rental. Subject to section 8.2 paragraph 2 (BYKE´s LIABILITY), the Vehicle is regarded as free from damages, if You do not inform BYKE of a defect within the first 10 minutes after rental. The aforementioned limitations do not apply in the event of intentional or grossly negligent breach of a duty on the part of BYKE or in the event of injury to life, body or health. 
    
    4.6 RESTRICTED USES
    
    The Vehicles may not be used under the following conditions:
    
    a)      In case of the Bikes, if the person who is supposed to ride the Bike is younger than 16 years of age, unless this person is accompanied by an adult; in case of the Electric Scooter, if the person who is supposed to ride the Electric Scooter is younger than 18 years of age, unless this person is accompanied by an adult; 
    
    b)      If the person who is supposed to ride the Vehicle has any existing physical or mental condition that would prevent such person from safely operating the Vehicle;
    
    c)       While carrying any item that would impede the driver’s ability to safely operate the Vehicle. 
    
    d)      If the person who is supposed to ride the Vehicle is under the influence of alcohol, drugs, or any other substance that may impair the person´s ability to safely operate the Vehicle;
    
    e)      While using any cellphone or mobile electronic device, including, but not limited to, for the purposes of phone calls, text messages, listening to music or any other use that distracts the driver from the safe operation of the Vehicle;
    
    f)        If the Bike basket is overfilled with any kind of objects or in case objects are placed into the basket weighing in total more than 5 kilogram;  
    
    g)       During adverse weather conditions like hail, dust storms, heavy fog, heavy rains, or thunder storms; 
    
    h)      If the Vehicle has any obvious technical defect that could affect the Vehicle´s roadworthiness; 
    
    i)        For violating the regulations of the German Road Traffic Act (StVO), if You are using the Services in Germany or for violating the regulations of the Royal Decree 6/2015 of Spain, approving the revised text of the Law on Traffic, Circulation of Motor Vehicles and Road Safety and of the Royal Decree 1428/2003, approving the Spanish General Regulation of Circulation and of the rest of the local legislation on traffic and circulation, if you are using the Services in Spain. 
    
    j)        For racing, tricks riding, jumping, stunt riding and/or off road riding;
    
    k)       For any commercial purposes; 
    
    l)        For towing, pulling, carrying, or pushing any person or object with a Vehicle. 
    
      
    
    5. END OF THE INDIVIDUAL VEHICLE RENTAL AND RETURN OF THE VEHICLE
    
    5.1 You must return the Vehicle in the same condition as when received. 
    
    5.2 In case of a Bike Rental, the Individual Vehicle Rental ends, (i) when the Bike is properly parked and locked at any legal, freely accessible parking location within the boundaries of the Operating Area (ii) and BYKE confirms the return of the Bike via the BYKE App. In case of an Electric Scooter Rental, the Individual Vehicle Rental ends (i) when the Electric Scooter is properly parked and locked at any legal, freely accessible parking location within the boundaries of the Operating Area, (ii) You have indicated the end of the Individual Vehicle Rental via the BYKE App and (iii) BYKE confirms the return of the Electric Scooter via the BYKE App. You may return a Vehicle outside the Operating Area in accordance with the aforementioned provisions subject to additional fees as set out in the current Price List. Upon Return of a Vehicle, You can view the completed rental process including the total Rental Time and total fees in the BYKE App.
    
    5.3 If the return of a Vehicle fails, for example due to low battery of Your device or missing internet connection, You must notify the BYKE customer service as soon as possible via the BYKE App or via the contact details provided at the end of these ToS. In such a case BYKE will manually end the Individual Vehicle Rental. In addition, BYKE reserves the right to end Individual Vehicle Rentals if You do not use a Vehicle within a period of 24 hours after commencement of the Individual Vehicle Rental.
    
    5.4 You must be able to provide information in regards to the exact location of a returned Vehicle upon request by BYKE for a period of 48 hours following the return of a Vehicle. 
    
    5.5 You are obliged to follow road traffic regulations and specific conditions of the Operating Area when parking. You must make sure that the Vehicle does not hinder other road or sidewalk users or other third parties. In particular, You must not park the Vehicle at trees, traffic signs, traffic lights, parking meters, parking ticket machines, fences to property of third parties, benches, containers, litter bins, in front of or near emergency exits and fire department service zones, in front of driveways and exits, lowered curbstones, on access paths to public transportation, bicycle lanes, orientation aids for the blind, pedestrian crossings, in buildings, backyards, vehicles, parks and green spaces or where the Vehicle covers advertisements, urban furniture when the destination or functionality of the covered item is impaired or when the Vehicle damages or deteriorates the item´s condition, in the areas reserved for loading and unloading, in places reserved for other users or services and, in general, in any other places forbidden by local regulations of the city in which You are driving the Vehicle.
    
    5.6 You are responsible for checking that there are no temporary prohibitions (for works, markets, parties, tree pruning, filming, etc.) in a parking area. You may not end the Individual Vehicle Rental by parking a Vehicel in areas with daily or time parking restrictions, if the restriction starts in less than 24h after the vehicle has been parked. For example, if the parking ban starts on Tuesday at 09.00 am, You are not allowed to park the Vehicle in the restricted area after 09.00 am of the previous Monday.
    
    5.7 If You park the Vehicle in breach of the aforementioned provisions, additional charges may apply in accordance with the current Price List. In case the Vehicle has been parked in breach of the provision as set out in section 5.2 above, the Rental Time also continues to run, subject to charges, until the respective Vehicle is returned in accordance with such provisions, but no longer than 48 hours after the Vehicle has been parked in breach of such provisions. The respective fees will not be charged to the extent that You prove not to be responsible for the damages incurred to BYKE, that no damage occurred or that the actual damage incurred is significantly lower than the fees imposed on You.  
    
      
    
    6. PAYMENT AND BILLING
    
    6.1 BYKE will charge You on the basis of the prices applicable at the time of booking. The current Price List is available on the BYKE Website and in the BYKE App. BYKE is entitled to amend the Price List at any time for future bookings in accordance with section 10 of these ToS.
    
    6.2 If a Vehicle is returned outside the Operating Area as defined on the BYKE Website and in the BYKE App additional fees are due according to the current Price List. 
    
    6.3 Different rates apply for the Bike Rental and the Electric Scooter Rental and different rates may apply to different categories of Bikes and/or Electric Scooters as indicated in the BYKE App or BYKE Website. 
    
    6.4 Payments for an Individual Vehicle Rental are payable at the end of the Individual Vehicle Rental. Payments for a Rental Pass shall be payable at the time of booking. Payments for Subscriptions (Monthly or Yearly) shall be payable at the beginning of each subscription term. 
    
    6.5 After Registration, BYKE sets up a credit account (“Credit Account”) for You, which You may charge with money at any time in order to pay any fees incurred. Besides You can choose between different payment methods as Your preferred payment method (“Preferred Payment Method”). You have the option to pay the amounts due by means of credit card (Visa, Mastercard or American Express) or with PayPal. For payment by Credit Card BYKE uses the Stripe Sdk and for payments with PayPal, BYKE uses the PayPal Sdk (for more information see section 9 of these ToS). If You choose to pay with PayPal You will be asked to log in to Your PayPal account with Your email address and password to confirm the payment. You may change Your Preferred Payment Method at any time. 
    
    6.6 If and to the extent You have a credit balance (“Credit Balance”) on Your Credit Account, Your Credit Account will be used first for any payments due and Your Preferred Payment Method will be used for any remaining amounts due. BYKE may from time to time and at its own discretion provide You with bonus amounts (“Bonus Amounts”). Bonus Amounts are kept by BYKE on a separate account (“Bonus Account”) within the BYKE App. You can view the total balance of Your Credit and/or Bonus Account at any time in the BYKE App. If and to the extent You have a balance on Your Bonus Account, BYKE will use first and foremost such balance. If there is no credit on the Bonus Account or if the Services cannot be offset with the Bonus Account, BKYE debits the (remaining) charges from the Credit Account and/or Your Preferred Payment Method. 
    
    6.7 You are not able to transfer Your Bonus Amount or Credit Balance to other users of the BYKE App or any other third party.
    
    6.8 There is no expiry date for Your Credit Balance during the term of the Master Agreement. In the event of termination, any Credit Amounts existing at the end date of the Master Agreement shall upon Your request be transferred to a designated bank account as set out in section 7.1 paragraph (5) of these ToS.  Remaining Bonus Amounts existing at this date shall expire automatically and will neither be returned to You nor can such amounts be used to reduce any amounts owed by You to BYKE. 
    
    6.9 Any charges applicable for BYKE´s Services are inclusive of applicable taxes required by law.
    
    6.10 Should it be impossible to process a payment due to reasons for which You are responsible, BYKE will charge You with expenses that may be incurred due to such default in accordance with the Price List, unless You can prove that no expenses incurred at all or the actual expenses incurred were lower than indicated.  BYKE will also charge reminder fees to You, as defined in the Price List. In addition, if You are in default of payment, the outstanding amount shall bear interest at the rate of five percent (5%) over the then current basic rate of interest. 
    
    6.11 If the payment is delayed, BYKE is upon a warning authorized to discontinue the Service until You meet Your payment obligations. 
    
    6.12 BYKE will debit any charges due automatically via Your Preferred Payment Method without the requirement of prior payment request. Objections to the charges must be submitted in writing to BYKE within 14 days of receipt of the invoice. 
    
      
    
    7. TERM AND TERMINATION; SUSPENSION OF THE SERVICES 
    
    7.1 TERM AND TERMINATION OF THE MASTER AGREEMENT
    
    (1) The Master Agreement shall be concluded for an indefinite period of time if not terminated according to this section 7.
    
    (2) The Master Agreement can be terminated by BYKE with a notice period of 3 days by sending You a termination notice via the BYKE App, by email or text message (SMS). 
    
    (3) You may terminate the Master Agreement at any time by sending us a notification in text form (e.g. email). 
    
    (4) A termination of the Master Agreement is not possible during an Individual Vehicle Rental. If a minimum term has been agreed under a Subscription, the Master Agreement may only be terminated as to the end of the agreed minimum term. 
    
    (5) After termination of the Master Agreement, BYKE will collect any outstanding amounts within 14 working days and refund any remaining balance of Your Credit Account within another 14 working days after You have submitted to the BYKE customer support (see section 17 of these ToS) a German or a Spanish bank account, as the case may be. 
    
    7.2 TERM AND TERMINATION OF SUBSCRIPTIONS AND INDIVIDUAL RENTAL CONTRACTS
    
    (1) The Subscriptions have an indefinite contract term. 
    
    (2) The monthly pass Subscription can be cancelled by You at any time prior to the end of a contract month and by BYKE with a notice period of 3 days to the end of a contract month. If a Subscription for example starts on the 13th of a month, it can be cancelled with effect to the 12th of each following month. If neither party cancels the Subscription, it is automatically extended for an additional month. 
    
    (2) The annual pass Subscription can be cancelled by You at any time prior to the end of a contract year and by BYKE with a notice period of 3 days to the end of a contract year. If the Subscription begins for example on April 13 of a year, it can be cancelled with effect to April 12 of each following year. If neither party cancels the Subscription, it is automatically extended for an additional year. 
    
    (3) Notice of termination from BYKE must be given in text form (e.g. by email, SMS or by App notification). You may cancel a Subscription directly in the App under the menu item "My tariff" or by sending us a termination notice in text form (e.g. via email).
    
    (4) You can terminate an Individual Rental Contract at any time by returning the Vehicle in accordance with section 5.2 of these ToS.
    
    7.3 EXTRAORDINARY TERMINATION RIGHT 
    
    The parties´ right of extraordinary termination remains unaffected by section 7.1 and 7.2 of these ToS. 
    
      
    
    8. LIABILITY AND LIMITATION OF LIABILITY 
    
    8.1 YOUR LIABILITY 
    
    (1) You use the Services at Your own risk. If You cause damages to a Vehicle or a Vehicle is stolen during Rental Time resulting from gross negligence or willful conduct, You are liable for losses BYKE suffers arising from such damages or theft on the basis of statutory liability regulations. Your liability in case of slight negligence is limited to a maximum amount of EUR 300 for damages to a Bike and to a maximum amount of EUR 450 for damages to an Electric Scooter. 
    
    (2) If due to a breach of these ToS, in particular with section 5 of these ToS, a Vehicle has to be relocated by public authorities or by BYKE, and BYKE is subject to a fine and/or other costs, such as relocation costs, such fine and/or costs will be passed on to You. In addition, BYKE will charge a service fee according to the current Price List.   
    
    (3) You agree to defend, indemnify, and hold BYKE, its officers, directors, employees, and agents, harmless from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with (i) Your willful or negligent violation of these ToS, (ii) Your willful or negligent violation of third party rights, or (iii) Your leaving of Vehicles to Other Drivers.
    
    8.2 BYKE’S LIABILITY 
    
    (1) BYKE shall be unrestrictedly liable towards You in the event of a culpable breach of material contractual duties (“Cardinal Obligations”) by BYKE, its legal representatives or vicarious agents. Cardinal Obligations are all obligations whose breach would jeopardize the achievement of the contractual purpose, as well as all obligations whose fulfillment enables the proper performance of the agreement in the first place and on which You can generally rely. However, where a breach of a Cardinal Obligation is due only to slight negligence and does not result in death, personal injury or damage to health, Your claims will be limited to damages in the amount of the typically foreseeable damage at the time the respective service was performed. 
    
    (2) BYKE shall be unrestrictedly liable in cases of intent and gross negligence and for death, personal injury or damage to health caused by BYKE, its legal representatives or vicarious agents. 
    
    (3) BYKE shall be liable in accordance with the German Product Liability Act in the event of product liability.
    
    (4) In all cases other than described in section 8.2 paragraph 1 to paragraph 3, BYKE or BYKE’s legal representatives, employees, or vicarious agents are not liable for any claims. BYKE shall be excused from the performance of the Services for any period and to the extent that it is prevented from performing the Services, in whole or in part, as a result of a Force Majeure Event. 
    
     (5) To the extent BYKE’s liability is limited or excluded under the above provisions; this shall also apply to the personal liability of BYKE’s legal representatives, employees, and vicarious agents. 
    
      
    
    9. DATA PRIVACY 
    
    9.1 BYKE collects, processes and uses personal data which You provide during registration and use of the Services, such as Your mobile phone number, email address and bank details as well as personal data related to Your usage of the Vehicles, such as the start location and destination, start time and the duration of use, insofar as required for performance of the Services and in compliance with the provisions as set forth in the European General Data Protection Regulation (“GDPR”) and associated implementation provisions. This data processing is based on Art. 6 para. 1 letter b of the GDPR. Furthermore BYKE processes such data to identify any usage of Vehicles in breach of these ToS and/or in breach of road traffic rules and to process recourse claims for which BYKE would be liable as the Vehicle keeper on the basis of Art. 6 para. 1 letter b and c of the GDPR. 
    
    9.2 BYKE uses Google Maps API applications to determine the current location of a Vehicle and display the nearest available Vehicle. Google Maps is provided by Google Inc., 1600 Amphitheatre Parkway, Mountain View, CA 94043, USA (“Google”). The Google Maps API is essential for the functionality and availability of the Services. Google Maps API applications record the destination, departure and arrival times and duration of use of Vehicles. When using Google Maps, information about Your use of the BYKE App or BYKE Website is transmitted and stored on servers belonging to Google in the USA. The transfer of all locational data to Google occurs anonymously.
    
    9.3 BYKE engages payment service providers for the processing of Your payments. For payments by credit card BYKE uses the payment service provider Stripe Inc., located at 185 Berry Street, Suite 550 San Francisco, CA 94107, USA (“Stripe”). Thus, if You choose payment by credit card as Your Preferred Payment Method, the credit card details You enter will be transmitted to Stripe. Stripe may only use these details in order to process credit card transactions that You have initiated. Stripe's privacy policy can be found here: https://stripe.com/de/privacy. For payments by PayPal, we use the payment service provider PayPal (Europe) S.à r.l et Cie, S.C.A. (“PayPal”).     9.4 As for Stripe and Google, the data are transferred to a country outside the European Union. Such transmissions are allowed under the EU commission’s decision about the adoption of the EU-US data protection framework “Privacy Shield” (https://www.privacyshield.gov/welcome). Stripe and Google are certified under this EU-US Privacy Shield Framework.

    10. MODIFICATIONS TO THESE TOS AND THE Price List 
    
    10.1 BYKE expressly reserves the right to amend these ToS and the Price List pursuant to the following provisions.
    
    10.2 BYKE is entitled to amend these ToS and the Price List at any time without giving reasons for future Individual Vehicle Rentals or Rental Passes. BYKE will notify You of any such changes at least
    3 days prior to such changes. Individual Vehicle Rentals included in Rental Passes or active Subscriptions that (i.e. the Rental Passes or Subscriptions) were purchased before the notification on amendments shall not be affected during the current contract/subscription period. 
    
    10.3 In case of monthly Subscriptions, BYKE is entitled to change these ToS and the Price List without giving reasons with effect to the next contract month. BYKE will notify You of any such changes at least 3 days prior to the end of the current contract month. Any communicated amendments are considered approved if You do not object to them in text form (e.g. email) within 1 week upon notification. In case You object to the amendments, the Subscription shall be automatically terminated. BYKE will specifically point the aforementioned consequences out in BYKE’s notification of amendments. 
    
    10.4 In case of annual Subscriptions, BYKE is entitled to change these ToS and the Price List without giving reasons with effect to the next contract year. BYKE will notify You of any such changes at least 3 days prior to the end of the current contract year. Any communicated amendments are considered approved if You do not object to them in text form (e.g. email) within 4 weeks upon notification. In case You object to the amendments, the Subscription shall be automatically terminated. BYKE will specifically point the aforementioned consequences out in BYKE’s notification of amendments. BYKE is only entitled to adjust or change these ToS with effect to the current contract year, if required due to a change of significant technical, commercial or legal framework conditions. Any communicated amendments with effect to the current contract year shall take effect and are considered approved if You do not object to them in text form (e.g. email) within 6 weeks upon notification. BYKE will specifically point the aforementioned consequences out in BYKE’s notification of the amendments. In case mandatory changes are required by applicable law, court orders or orders by public authorities the above notification period might have to be shorter, depending on the respective law, court order or public order. If You object to the amendments, the ToS remain in force unchanged. BYKE is in this case however entitled to terminate the Master Agreement and the respective Subscription with a notice period of 3 days following Your objection. 
    
    10.5 BYKE will notify You of any changes pursuant to section 10.2 to 10.4 by email, SMS or notification within the Bike App and by publication of the new ToS and prices on the BYKE Website and in the BYKE App. 
    
    10.6 Notwithstanding sections 10.1 to 10.5, any alterations or amendments to these ToS and/or the Price List agreed between You and BYKE are only valid and binding if agreed in text form. This shall also apply to this text form requirement itself. 
    
      
    
    11. THIRD PARTY INTERACTIONS 
    
    11.1 During the use of the Services, You may enter into correspondence with, purchase goods and/or services from, or participate in promotions of third party providers, advertisers or sponsors showing their goods and/or services through the BYKE App or the BYKE Website. Any such activity, and any terms, conditions, warranties, or representations associated with such activity, is solely between You and the applicable third party. 
    
    11.2 BYKE does not endorse any applications or sites on the Internet that are linked through the BYKE App or BYKE Website and is not responsible for any content, products, services, or other materials on or available from such sites or third-party providers. 
    
      
    
    12. APPLICABLE LAW 
    
    The agreement, including these ToS and the Price List, shall be governed by the laws of Germany, for customers using our Services in Germany, and by the laws of Spain for customers using our Services in Spain, excluding the regulations of the UN Sales Convention (CISG). 
    
      
    
    13. ASSIGNMENT
    
    13.1 BYKE is entitled to assign its rights and obligations under the Master Agreement as specified in these ToS to a third party at any time without Your consent. BYKE is however obliged to notify You in text form of a transfer in due time prior to any such transfer. Upon notification of a transfer, You are entitled to terminate the Master Agreement extraordinarily within six (6) weeks. BYKE will point out this right again in the notification. 
    
    13.2 You are under no circumstances entitled to transfer or assign rights from the Master Agreement to third parties without the prior written consent of BYKE.
    
      
    
    14. NO WAIVER
    
    BYKE’s failure to insist upon or enforce strict performance of any provision of these ToS shall not be construed as a waiver of any provision or right. Neither the course of conduct between the parties nor trade practice shall act to modify any part of these ToS. No waiver by BYKE shall be construed as a waiver of any proceeding or succeeding breach of any provision in these ToS. 
    
      
    
    15. SEVERABILITY
    
    If any provision of these ToS or in the current Price List is held by a court of competent jurisdiction to be invalid or void, the remaining provisions of these ToS shall remain in full force and effect. 
    
      
    
    16. NOTE ON DISPUTE RESOLUTION 
    
    BYKE is not obliged nor willing to participate in dispute resolution proceedings before a consumer conciliation agency within the meaning of the Act on Alternative Dispute Resolution in Consumer Matters.     7Duration of Storage
    
     
    
    Your personal data will be kept as long as it is necessary for the purposes established in this policy. However, it may happen that the European or national legislator requires a longer storage period. In these cases, the data is not deleted or locked until the corresponding retention period has expired. After this period, the data will be definitively deleted.
    
     
    
    8Download / Installation of the Application
    
     
    
    (1)               When You download / install our Application, We will ask for permission to use interfaces to access functions and contents of Your device in order to collect certain data including:
    
     
    
    -            Your location,
    
    -            Your camera,
    
    -            information about the WLAN connection,
    
    -            information about Your Bluetooth connection.
    
     
    
    (2)               Since We require the data to fulfil our contract with You, the legal basis is Art. 6 para. 1 lit. b GDPR. 
    
     
    
    (3)               We need access to the above interfaces and data in order to provide You with the functions and services of our Application and thus to fulfil our obligations under the general agreement as well as to enable the booking of a Byke or an Electric Scooter. For example, Your location is needed to show You the next Byke or Electric Scooter in Your area and how to get there. In addition, if You rent an Electric Scooter, We track Your location when locking and unlocking the Scooter. If a Byke is rented, We retrieve the location of the Byke directly via a GPS module integrated in the Bykes and not via Your device. Location tracking only takes place to ensure a proper lending and return process or to assist You in the event You report a service case.  
    
     
    
    (4)               Access is possible from the moment the Application is installed on Your mobile device. Depending on Your settings, this access is permanent or only for the duration of the actual use of the Application. For the highest possible level of data protection, We recommend that You only allow access during the actual use of the Application. The data retrieved in each case are generally stored only for the duration of the actual use of the Application, after which they are deleted. We store Your location retrieved in the event You report a service case for a maximum duration of one year at the time of reporting. We store the location data that We collect in connection with locking and unlocking our Bykes and Electric Scooters for a maximum duration of 3 years. The data will then be made anonymous or will be blocked and deleted according to the rules stated in clause 7 of this Policy regarding “Duration of the Storage”.  
    
     
    
    9Registration with Your Telephone Number
    
     
    
    (1)               In order to use our Application, You have to register. You can register by entering Your telephone number in the input screen provided for this purpose.
    
     
    
    (2)               The processing of Your data during registration is carried out on the basis of Art. 6 para. 1 lit. b GDPR for the conclusion and fulfilment of a contract.
    
     
    
    (3)               These data are processed solely in order to provide You with the functionality of our Application. Without registration as a User, there is no way to rent and use a Byke or Electric Scooter through the Application.

    10Registration via Facebook Connect
    
     
    
    (1)               You also have the option to register in our Application via Facebook Connect. This is a service of Facebook Ireland Limited, 4 Grand Canal Square, Dublin 2, Ireland. As the registration is performed through Facebook Connect BYKE cannot control the procedure to sign on in the registration. For that reason, BYKE dissociates from any responsibility arising from any breach, action or inaction of Facebook Connect or any breach of third parties that can be performed in the registration procedure. By clicking on the button integrated in our Application for this purpose, You can register with Your Facebook login data and thus speed up the login process. This process links our Application to Your Facebook profile and You consent to the processing of the public data on Your Facebook profile.

BYKE cannot control the procedure to sign on in the registration. For that reason BYKE dissociates from any responsibility that may arise from any breach, action or inaction of Google Firebase or any breach of third parties that can be performed in the registration procedure. We use this service to make Your authentication easier and more convenient. This service provider has access to personal information required to perform its tasks. Google Firebase may not use them for other purposes. In addition, Google Firebase is required to treat the information in accordance with this Privacy Policy and the applicable data protection laws.

    14Using the Application
    
     
    
    (1)               Every time You open our Application, We collect so-called server log files. These data log all requests and accesses by visitors to the Application and record all error messages from an Application. These include: 
    
     
    
    -            the IP address of Your mobile device,
    
    -            Your device and card identification,
    
    -            the name of Your telephone, if You have named it using Your own name,
    
    -            the time of the request,
    
    -            the status of the request,
